Guidant Financial (“Guidant”) provides certain services to you that are subject to the following Terms and Conditions (“TAC”). Guidant reserves the right to update the TAC at any time without notice to you. You should check back frequently by clicking on the “Terms & Conditions” hyperlink located at the bottom of our Web pages to ensure you are in compliance with the TAC. These TAC also govern Guidant’s affiliated, co-branded, and personality-branded websites, memberships, and digital properties, including JeremyAmes.com and the products, memberships, downloadable materials, interactive tools, and artificial-intelligence-powered coaching features offered through it, whether or not the Guidant name appears on the property in question. Guidant Financial Group, Inc. is the provider and seller of record for all such products and services. Where a change to these TAC is material and affects products or memberships you have purchased, we will provide notice by posting an updated “Date of Last Modification” and, where required by law, by other reasonable means.

LIMITATION TO PERSONAL USE; COMMERCIAL USES PROHIBITED

The Services provided by Guidant are for your personal use. Any commercial use is prohibited without Guidant’s prior express written consent. Any information, service or products you obtain from the Services may not be modified, distributed, transmitted, copied, displayed, reproduced, licensed, published, performed, transferred or sold; nor may you create any derivative works therefrom.

GUIDANT’S SERVICES

Throughout this website, Guidant will provide you with access to a variety of resources. These resources include various tools, data collections, educational materials, download areas, rich media, product information, and other miscellaneous sources (collectively “Services”). The Services, including any updates, enhancements, new features, and/or the addition of any new properties, are subject to the TAC. For the avoidance of doubt, “Services” also includes any membership or subscription offered by Guidant or its affiliated brands; any digital product, downloadable material, workbook, template, calculator, assessment, or framework, whether provided free of charge or for a fee; and any artificial-intelligence-powered coaching, assessment, or content feature, together with all content and outputs generated by such features (collectively, the “AI Features”).

ACCEPTANCE OF THESE TERMS

By creating an account, registering for a membership, purchasing any product, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these TAC and by our Privacy Policy. Where we present these TAC for your acceptance at account registration or checkout, you must affirmatively indicate your agreement before completing that step. If you do not agree to these TAC, you may not access or use the Services. You represent that you are at least eighteen (18) years of age and have the legal capacity to enter into these TAC.

CONSENT REQUIRED FOR USAGE OF DOCUMENTS

You must obtain prior express written consent from Guidant to use Documents (such as white papers, press releases, educational materials and FAQs) from any Services.

NO PROHIBITED OR UNLAWFUL USES

You must not use the Services for any purpose that is unlawful or prohibited by these TAC. Any violations of these TAC will result in the revocation of (a) your right to use the Services, and (b) any username and password you may have been issued. You must not attempt to gain unauthorized access to any Services, other accounts, computer systems or networks connected to any Guidant server or to any of the Services, through hacking, password mining or any other means. You must not use the Services in any manner that could damage, disable, overburden, or impair any Guidant server, or the network(s) connected to any Guidant server. You further agree that you will not interfere or attempt to interfere with any other party’s use and enjoyment of any Services. You must not obtain or attempt to obtain any materials or information through any means not intentionally made available through the Services.

DUTY TO MAINTAIN SECURITY; REGISTRATION REQUIRED

Certain Services will require you to register with Guidant. If such registration is required, you must provide us with current, complete and accurate information as prompted by the applicable online registration form. Guidant will supply you with a username and password once you have supplied the required information. It is your sole responsibility to maintain the security and confidentiality of your password and account. You also have sole responsibility for any and all activities that occur under your account. In the event you become aware of any unauthorized use of your account or any other breach of security, you agree to notify Guidant immediately and to provide all the facts and circumstances of the incident(s). Guidant shall have no liability for any damages or loss of any type that you may incur as a result of someone else using your password or account, whether you authorized that usage or not. You acknowledge that you could be held liable for damages or losses incurred by Guidant or another party should someone else use your account or password, whether you authorized that usage or not. You must obtain the prior express permission of the account holder in order to use some other person’s account.

ARTIFICIAL INTELLIGENCE FEATURES

Certain Services include AI Features that generate responses using automated systems. You acknowledge and agree that: (a) outputs are generated automatically and may be inaccurate, incomplete, outdated, or unsuitable for your circumstances; (b) outputs are provided for general educational and informational purposes only and do not constitute legal, tax, accounting, financial, investment, or business advice; (c) outputs are not a substitute for the judgment of a qualified professional who knows your specific facts and circumstances, and you should seek such guidance before acting; (d) no attorney-client, fiduciary, advisory, brokerage, or other professional relationship is created by your use of the AI Features; and (e) you are solely responsible for evaluating and verifying any output before relying on it. Guidant does not guarantee the accuracy, completeness, or fitness for any purpose of any output. Information you submit to the AI Features is handled as described in our Privacy Policy; you should not submit Social Security numbers, account numbers, passwords, or other sensitive information you would not want retained. We disclose that you are interacting with artificial intelligence at the start of the interaction and periodically during it, and we will confirm that fact if you ask at any point. You may request to speak with a member of our team at any time, and we will provide a means of doing so. Any description of the capabilities, accuracy, or expected results of the AI Features is provided for general informational purposes and does not constitute a warranty or guarantee of performance.

YOUR SUBMISSIONS TO THE AI FEATURES

You retain ownership of the information and materials you submit to the AI Features. You grant Guidant a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and process your submissions and the resulting outputs in order to provide the Services to you and to evaluate, test, tune, and improve the accuracy, safety, and quality of the AI Features, including through review by Guidant personnel. You represent that you have the right to submit the information you provide and that doing so does not violate any obligation you owe to another person. We do not authorize our third-party artificial intelligence providers to use your submissions to train their own general-purpose models except as described in our Privacy Policy or as you otherwise consent.

The AI Features do not determine your eligibility for any Guidant product, financing, or service, and no automated decision producing a legal or similarly significant effect concerning you is made through them. Eligibility determinations are made by Guidant personnel through our standard qualification processes.

Where an AI Feature is identified as a beta or pre-release tool, it may be inaccurate or incomplete, and it is not a substitute for advice from someone who knows your specific circumstances. We may modify, suspend, or discontinue any AI Feature at any time.

PAID PRODUCTS, MEMBERSHIPS AND DIGITAL CONTENT

Subject to your compliance with these TAC and your payment of all applicable fees, Guidant grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use purchased digital products and membership content for your own personal, non-commercial use. You may not resell, redistribute, republish, share account access, or create derivative works from any such product or content, and you may not use it to build or offer a competing product or service. All rights not expressly granted are reserved.

Prices are stated at the point of purchase and are charged in United States dollars. Unless expressly stated otherwise at the point of purchase, digital product purchases are one-time charges and do not automatically renew. Where we offer a satisfaction guarantee, you may request a refund by contacting us at the address stated in these TAC within thirty (30) days of your purchase, and we will process approved refunds to the original payment method.

Any comparative pricing, “value,” or savings figures shown in connection with our products are estimates presented for illustrative purposes, are based on our review of comparable offerings available in the market at the time of publication, and do not represent prices at which the individual components were previously offered for sale by Guidant.

LIMITATION OF LIABILITY

GUIDANT AND/OR ITS RESPECTIVE AFFILIATES MAKE NO REPRESENTATIONS ABOUT THE SUITABILITY OF THE INFORMATION CONTAINED IN THE DOCUMENTS AND RELATED GRAPHICS PUBLISHED AS PART OF THE SERVICES FOR ANY PURPOSE. ALL SUCH DOCUMENTS AND RELATED GRAPHICS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. GUIDANT AND/OR ITS RESPECTIVE AFFILIATES HEREBY DISCLAIM ALL WARRANTIES AND CONDITIONS WITH REGARD TO THIS INFORMATION, INCLUDING THE FOLLOWING:

ALL WARRANTIES AND CONDITIONS OF MERCHANTABILITY, WHETHER EXPRESS, IMPLIED OR STATUTORY;
ALL WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

NEITHER GUIDANT NOR ITS RESPECTIVE AFFILIATES SHALL HAVE ANY LIABILITY FOR ANY SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES OR ANY DAMAGES WHATSOEVER RESULTING FROM LOSS OF USE, DATA OR PROFITS, WHETHER BASED ON ACTIONS ARISING FROM CONTRACT, NEGLIGENCE OR ANY OTHER TORTIOUS ACTION. THIS WAIVER AND RELEASE INCLUDES DAMAGE ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF INFORMATION AVAILABLE FROM THE SERVICES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF GUIDANT AND ITS AFFILIATES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TAC, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO GUIDANT FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR (B) ONE HUNDRED DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TAC LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

POLICY PROHIBITING UNSOLICITED IDEA SUBMISSIONS

NEITHER GUIDANT NOR ANY OF ITS EMPLOYEES WILL ACCEPT OR CONSIDER UNSOLICITED IDEAS, INCLUDING IDEAS FOR NEW ADVERTISING CAMPAIGNS, NEW PROMOTIONS, NEW PRODUCTS OR TECHNOLOGIES, PROCESSES, MATERIALS, MARKETING PLANS OR NEW PRODUCT NAMES. PLEASE DO NOT SEND ANY ORIGINAL CREATIVE ARTWORK, SAMPLES, DEMOS, OR OTHER WORKS TO GUIDANT OR ITS EMPLOYEES. THE SOLE PURPOSE OF THIS POLICY IS TO AVOID POTENTIAL MISUNDERSTANDINGS OR DISPUTES WHEN GUIDANT’S PRODUCTS OR MARKETING STRATEGIES MIGHT SEEM SIMILAR TO IDEAS SUBMITTED TO GUIDANT. ACCORDINGLY, WE STRONGLY REQUEST THAT YOU DO NOT SEND YOUR UNSOLICITED IDEAS TO GUIDANT OR ANYONE AT GUIDANT. IF YOU VIOLATE THIS REQUEST, YOU UNDERSTAND, ACKNOWLEDGE AND AGREE THAT GUIDANT MAKES NO ASSURANCES OR INDUCEMENTS THAT YOUR IDEAS AND MATERIALS WILL BE TREATED AS CONFIDENTIAL OR PROPRIETARY, AND YOU HEREBY WAIVE AND RELEASE ANY CLAIMS AGAINST GUIDANT AND ITS EMPLOYEES THAT ARISE FROM OR ARE RELATED TO ANY SUCH UNSOLICITED IDEAS.

GOVERNING LAW; DISPUTE RESOLUTION

These TAC are governed by the laws of the State of Idaho, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these TAC or the Services shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, and judgment on the award may be entered in any court of competent jurisdiction. YOU AND GUIDANT EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. You may opt out of this arbitration provision by sending written notice to the address below within thirty (30) days of first accepting these TAC; opting out will not affect any other provision of these TAC.
